NORTHERN TERRITORY UNIVERSITY (COMMON SEAL) BY-LAWS
By-laws under the Northern Territory University Act
These By-laws may be cited as the Northern Territory University (Common Seal) By-laws. (See back note 1)
In these By-laws, unless the contrary intention appears –
"common seal" means the common seal of the University;
"Registrar" means the person holding the office of Registrar of the University, and includes any person for the time being acting in or performing the duties of that office or appointed by the Vice-Chancellor in writing to act as Registrar for the purposes of these By-laws.
The common seal shall contain the words "Seal of the Northern Territory University".
The Registrar shall hold the common seal in safe custody and available for use as authorised by these By-laws.
(1) Subject to clause (2), the common seal shall be affixed to a document only under the authority of a resolution of the Council (which may relate either to that document specifically or to documents of a class or description which includes that document).
(2) The Registrar may, without the authority referred to in clause (1), affix the common seal to –
(a) any document required to be executed for giving effect to, or otherwise in connection with, a resolution of the Council or a transaction entered into on behalf of the University by a duly authorised person or persons; and
(b) by-laws and rules of the Council.
(3) Where the Registrar affixes the common seal to a document by virtue of clause (2)(a), the Registrar shall cause that fact to be brought to the notice of the Council at its next meeting.
(1) The form of the attestation clause in a document to which the common seal has been affixed, and the person or persons by whom the clause is to be signed, shall be determined by resolution of the Council, being a resolution relating either to that document specifically or to documents of a class or description which includes that document.
(2) The Council may by resolution determine, either in relation to a particular document or in relation to a class or description of documents, that the signature, or any of the signatures, required under clause (1) may be a facsimile affixed to the document, or to documents of that class or description, by mechanical means.
The Registrar shall maintain a register of the use of the common seal and shall, on each occasion on which it is affixed to a document, record in the register particulars of the document, its date and the names of its signatories.
The Registrar shall also have custody of the common seal of the Darwin Institute of Technology, and the seal shall be used only for the purposes of and in accordance with paragraph 4(5) of Schedule 2 to the Act.
